These Terms of Service ("Terms") govern your access to and use of originmatchaus.com
(the "Site") and the purchase of products through it, operated by
Ceremonial Trade LLC ("Origin Matcha,"
"we," "us," or "our"). By accessing the Site, creating an account, or placing an order, you agree to
these Terms. If you do not agree, do not use the Site.
1. Who May Use the Site
Origin Matcha sells wholesale and direct-buy matcha products primarily to coffee shops, cafés, and
other business customers. You must be at least 18 years old and have the authority to bind the business
you represent to place an order. By registering, you confirm the information you provide is accurate
and that you are authorized to act on behalf of your business.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
We may suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period.
3. Products, Pricing & Orders
Product descriptions, images, and pricing are provided for informational purposes and may change without notice.
Direct-buy (starter bag) orders are processed and charged through Stripe at the time of order.
Bulk and private-label wholesale orders are quoted, confirmed, and invoiced separately following submission of a shop profile / wholesale inquiry, and are subject to minimum order quantities (MOQs) and membership tier terms disclosed to you at the time of quoting.
Membership tiers (Starter, Terrace Partner, Origin Partner) are calculated on rolling annual volume and reviewed quarterly, as described on the Site; tier eligibility may be adjusted based on actual purchasing activity. Tiers affect allocation priority, quality documentation, and support. They do not carry a price discount, freight allowance, or rebate.
Orders placed in the member portal are paid from your prepaid account balance. Balances are topped up by card or ACH through Stripe; the processing fee shown at top-up is charged in addition to the top-up amount and is not credited to your balance. See our Refund & Return Policy for balance refunds.
Account balance terms. Online top-ups by card or ACH are limited to between US$50 and US$10,000 per transaction. You may also top up by wire or bank transfer using the reference shown in your portal; wire and bank-transfer top-ups are credited after we confirm the funds have arrived in our account, and any bank fees charged to you or deducted along the way are your responsibility (we credit the amount we actually receive). Card top-ups are credited when payment is confirmed; ACH top-ups are credited only after the bank payment succeeds, which usually takes several business days. Your balance is a prepayment toward future orders; it is not a bank deposit, does not earn interest, and may not be transferred to another person. If a top-up is later reversed, refunded, disputed, or returned by the bank or card issuer, we may deduct the corresponding amount from your balance. If the balance is not enough to cover it, you agree to pay the shortfall, and we may suspend your account and pending orders until it is paid.
Promotional pricing (e.g. founding/launch rates) is valid only for the period stated and may be withdrawn or modified at our discretion.
We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or inability to verify business status.
4. Shipping & Delivery
Shipping timelines, regions served, and costs are described in our
Shipping Policy, which forms part of these Terms. Risk of loss and damage passes to you when the carrier delivers the products to the shipping address you provided. Until then, we are responsible for loss or damage in transit and will handle it as described in the Shipping Policy and Refund & Return Policy.
5. Returns & Refunds
Returns, damaged/incorrect shipments, and refund eligibility are governed by our
Refund & Return Policy, which forms part of these Terms. Food safety,
storage, traceability, and recall matters are addressed in that policy as well.
6. Intellectual Property
All content on the Site — including the Origin Matcha name and logo, text, graphics, photography, and
site design — is owned by us or our licensors and protected by copyright and trademark law. You may not
copy, reproduce, or use our content or branding without prior written consent, except as necessary to
place and manage an order.
7. Private Label & Wholesale Terms
Private-label packaging, custom formulations, and bulk supply arrangements are subject to a separate
written wholesale/private-label agreement between you and Origin Matcha, which will govern in the event
of any conflict with these Terms for that specific arrangement.
8. Acceptable Use
You agree not to:
Use the Site for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to any part of the Site, other accounts, or our systems
Interfere with or disrupt the Site's operation, including through scraping, bots, or excessive automated requests
Misrepresent your identity or business affiliation when creating an account or requesting wholesale pricing
9. Disclaimers
The Site and products are provided "as is" and "as available." To the fullest extent permitted by law,
we disclaim all warranties, express or implied, including merchantability, fitness for a particular
purpose, and non-infringement. We do not guarantee the Site will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the fullest extent permitted by law, Origin Matcha and its owners, employees, and agents will not be
liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or
revenue, arising from your use of the Site or products, even if advised of the possibility of such
damages. Our total liability for any claim arising from an order will not exceed the amount you paid for
the product(s) giving rise to the claim. Nothing in these Terms excludes or limits any liability that
cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Origin Matcha from any claims, damages, or expenses (including
reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Site, or your resale
or use of our products in violation of applicable law.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of New Jersey,
without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site
will be resolved in the state or federal courts located in the State of New Jersey,
and you consent to personal jurisdiction there.
13. Changes to These Terms
We may revise these Terms from time to time. Continued use of the Site after changes take effect
constitutes acceptance of the revised Terms. Material changes will be reflected by an updated "Last
updated" date above.
